3. User Responsibilities
You agree to:
- Provide accurate, complete information during setup and account creation
- Maintain the confidentiality of your account credentials
- Use the platform only for lawful purposes
- Comply with all applicable local, state, and federal laws
- Not engage in unauthorized access, hacking, or system abuse
- Not use the platform to send spam, phishing, or abusive communications
- Ensure compliance with SMS and email regulations (TCPA, CAN-SPAM, GDPR, HIPAA, etc.)
4. Intellectual Property
All platform features, design, code, and content are owned by Adaptive Insight or our licensors. Your use grants you a limited, non-exclusive license to access and use the platform for your business purposes. You may not reverse-engineer, modify, or redistribute any platform components.
5. Data and Privacy
Your use of personal data through our platform is subject to our Privacy Policy. You are responsible for ensuring you have proper consent to collect and process data through our systems. For regulated industries (medical, legal, financial), you are responsible for ensuring HIPAA, GLBA, or other compliance requirements are met.
6. Payment and Billing
Fees are as stated in your service agreement. Payment is due as specified. We reserve the right to suspend services for non-payment. Refunds are subject to our refund policy outlined in your service agreement.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPTIVE INSIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ADAPTIVE INSIGHT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Indemnification
You agree to indemnify, defend, and hold harmless Adaptive Insight from any claims, damages, or costs arising from your use of the platform, your violation of these terms, or your violation of any applicable law.
10. Third-Party Services
Our platform integrates with third-party services (calendar providers, SMS carriers, email providers, payment processors). Your use of these services is subject to their terms. Adaptive Insight is not responsible for third-party service outages or failures.
11. Termination
Either party may terminate services according to the terms of your service agreement. Upon termination, your access to the platform will be disabled, though we may retain certain data as required by law.
12. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to the website. Your continued use of the platform constitutes acceptance of updated terms.
13. Governing Law
These terms are governed by the laws of the United States and applicable state law, without regard to conflict of law principles.
14. SMS/Text Messaging Terms
By providing your mobile number and opting in (including through our website chat widget or web forms), you agree to receive text messages from Adaptive Insight Solutions LLC at the number provided, including messages sent using automated technology. Programs may include transactional and informational messages (such as appointment reminders and responses to your inquiries) and promotional messages where you have separately consented.
